Transformations
& mergers

As part of the TRANSFORMATIONS & MERGERS area:

We prepare comprehensive paperwork needed to register the transformation/ merger: in particular, we draft documents related to anything from the appointment of an auditor, preparation of a transformation/ merger plan, to notices to shareholders, resolutions of corporate bodies, through to registering the transformation or merger in the National Court Register (KRS);

We explain to Clients the differences between the current and new form of business (e.g. a joint-stock company) and advise them on the selection of the type of company appropriate to their needs;

We prepare comprehensive documents and procedures related to the transformation, and coordinate the activities of the accounting function and the statutory auditor;

We participate as an advisor in the Client’s working meetings where the transformation decision is debated;

We help Clients in selecting other entities involved in the transformation process, including a statutory auditor;

We identify matters that are key to the corporate overhaul process.

We evaluate the possibility of transformation, including previously signed and active contracts (e.g. investment agreements) and administrative decisions;
